These Terms of Service ("Terms") govern your use of Shipanel, including our website and service (collectively, the "Service"). By accessing or using Shipanel, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
By using Shipanel, you represent that you:
- Are at least 18 years old or have legal authority to enter into contracts
- Have the right to bind yourself (or your organization) to these Terms
- Will comply with all applicable laws and regulations
- Understand and accept our Privacy Policy
2. Service Description
Shipanel is a software-as-a-service platform that:
- Accepts invitations from founders to monitor code repositories
- Processes GitHub push notifications and code diffs
- Generates plain-English explanations of code changes
- Presents explanations to founders via a web dashboard
Important Limitations:
- Shipanel provides AI-generated summaries, which may contain inaccuracies
- We do not guarantee real-time processing or 100% uptime
- Explanations are automated and may not capture all context
3. User Accounts
3.1 Account Creation
You are responsible for:
- Providing accurate, complete information during registration
- Maintaining the confidentiality of your password
- All activity under your account
- Notifying us of unauthorized access
3.2 Account Security
- Do not share your account credentials
- Do not use another person's account without permission
- We will not ask for your GitHub password (we use OAuth)
4. Developer Integration & GitHub Authorization
4.1 GitHub OAuth Connection
When you (or a developer you invite) authorize Shipanel via GitHub:
- You grant Shipanel read-only access to repository metadata and commit data
- You must have the authority to grant this access
- Authorization is governed by GitHub's terms
4.2 Code Diffs and Data Processing
You understand and agree that:
- Code diffs are temporarily accessed to generate explanations
- Code diffs are NOT permanently stored — they are deleted immediately after processing
- Explanations (not code) are retained in your dashboard
- Shipanel never stores, backs up, or archives your source code
4.3 Developer Invitations
By inviting a developer to Shipanel:
- You confirm you have the authority to invite them
- You understand they will be asked to authorize GitHub access
- You are responsible for communicating how Shipanel works to developers
- Developers are not required to accept your invitation
4.4 Liability for Invited Developers
Shipanel is not responsible for:
- A developer's decision to accept or reject invitations
- How a developer uses or misuses their Shipanel access
- Any disputes between you and a developer regarding Shipanel use
5. Acceptable Use
You may NOT use Shipanel for:
- Illegal purposes — anything violating local, state, federal, or international law
- Surveillance abuse — using explanations to unfairly surveil or harass developers
- Unauthorized access — connecting repositories you don't have permission to access
- Reverse engineering — attempting to deconstruct or reverse-engineer Shipanel
- Hacking or exploits — attempting to breach Shipanel's security or access others' data
- Spam or abuse — creating multiple fake accounts, flooding systems, or sending unsolicited messages
- Competitive intelligence — scraping or exporting Shipanel data for commercial purposes
- IP theft — claiming Shipanel's technology or IP as your own
Violation of these provisions may result in immediate account termination.
6. Intellectual Property Rights
6.1 Shipanel's IP
All Shipanel technology, software, code, design, branding, and content are the exclusive property of Shipanel. You are granted a limited, non-exclusive, non-transferable license to use Shipanel for your personal or business purposes only.
6.2 Your Content
You retain all rights to:
- Project information you submit
- Code and repositories you connect
- Your account data
You grant Shipanel a limited license to process your data solely to deliver the Service.
6.3 Feedback
Any feedback, suggestions, or ideas you provide about Shipanel may be used by us without compensation or attribution.
7. Payment and Billing
7.1 Pricing
- Free plans are available with limited features
- Pro plans are charged at the stated monthly or annual rate
- Prices are subject to change with 30 days' notice
7.2 Billing
- Billing occurs on the date you purchase or renew your plan
- Monthly plans renew automatically each month
- Annual plans renew automatically each year
- You are responsible for updating billing information
7.3 Non-Refundable Fees
Except as provided in the Refund Policy, all fees are non-refundable.
7.4 Failed Payments
If payment fails:
- We will attempt to retry billing
- Your account may be suspended or downgraded
- Late fees may apply (see your invoice terms)

- Cancel anytime from your account settings
- Refunds processed to original payment method within 5-7 business days
9. Disclaimers and Warranties
9.1 AS-IS Service
Shipanel is provided "AS IS" without any warranties, express or implied.
9.2 No Warranty of Accuracy
- AI-generated explanations may contain inaccuracies or omissions
- We do not warrant that explanations are complete, correct, or suitable for any purpose
- You are responsible for verifying explanations against actual code
9.3 No Warranty of Availability
- We do not guarantee 100% uptime
- Maintenance, updates, or outages may interrupt service
- We are not liable for service interruptions beyond our control
9.4 No Warranty of Security
- While we use industry-standard security, no system is 100% secure
- You use Shipanel at your own risk
10. Limitation of Liability
10.1 Excluded Damages
To the maximum extent permitted by law, Shipanel is NOT liable for:
- Indirect damages — lost profits, lost revenue, lost data, lost opportunity
- Consequential damages — business interruption, reputational harm
- Incidental damages — special or punitive damages
- Even if Shipanel was advised of the possibility of such damages
10.2 Liability Cap
Our total liability to you in any 12-month period is limited to the amount you paid Shipanel in that period (or $100, whichever is greater).
10.3 Exceptions
These limitations do not apply to:
- Death or personal injury caused by our negligence
- Fraud or willful misconduct
- Liabilities that cannot be limited by law
11. Indemnification
You agree to defend, indemnify, and hold harmless Shipanel from any claims, damages, costs, or expenses arising from:
- Your use of Shipanel
- Your violation of these Terms
- Your violation of applicable law
- Your infringement of third-party intellectual property rights
- Disputes between you and a developer regarding Shipanel
12. Termination
12.1 Termination by You
You may terminate your Shipanel account at any time by deleting your account or contacting hey@shipanel.com.
12.2 Termination by Us
We may suspend or terminate your account if:
- You violate these Terms or our Acceptable Use Policy
- Your account is used for illegal or harmful purposes
- You have not accessed your account for 12 months
- Payment fails and cannot be recovered
12.3 Effect of Termination
Upon termination:
- Your account and data access will be removed
- You will not have further access to Shipanel
- Your account data will be deleted within 30 days (see Privacy Policy)
13. Modifications to Terms
We may update these Terms at any time by posting the updated version at shipanel.com/terms-of-service. Material changes will be communicated via email or prominent notice in the Service. Your continued use of Shipanel after such notice constitutes acceptance of the updated Terms.
14. Modification to Service
We may modify, suspend, or discontinue features of Shipanel at any time, with or without notice. We are not liable if the Service changes or becomes unavailable.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of [Your Jurisdiction], without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of courts located in [Your Jurisdiction].
16. Dispute Resolution
16.1 Informal Resolution
Before pursuing formal legal action, you agree to contact Shipanel at hey@shipanel.com to attempt resolution.
16.2 Binding Arbitration (Optional)

17. Severability
If any provision of these Terms is found invalid or unenforceable, that provision will be severed, and the remaining Terms will remain in effect.
18. Entire Agreement
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Shipanel regarding the Service.
19. No Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
